PERSONAL LIABILITY OF CORPORATE OFFICER  

     John Larkin is president of Wheels of Middletown and Century Chevrolet which are both corporations. He had no personal contact with either of the plaintiffs.

     Generally corporate officers are not personally liable for corporate actions. There are some exceptions to this rule.

  • A corporate officer may be personally liable for fraud if he exercises such "control and domination" of the corporation that in reality it had no separate existance.1

  • A corporate officer may be personally liable for fraud where he knew that a statement was false, that he intended it to be acted upon by the plaintiffs and that it was acted upon by a Plaintiff to his injury.2
